Questions for CYFA

On November 18th, 2025, an email was sent to Tim Tippens (President of CYFA) and also included Cherokee Recreation and Parks (CRPA) Staff, and all of the current Members of the Cherokee County Board of Commissioners. All of the email exchanges are listed below:

    After reading many of your recent public comments and seeing your repeated offer to “call me anytime,” I was initially going to pick up the phone. Ultimately I decided to put my questions in writing and send them via email so there is a clear, public record of exactly what is being asked and, if you choose to reply, exactly what answers are given. This way everyone with an interest in the answers can see the same information at the same time instead of relying on second-hand verbal summaries.

    Please find my detailed questions below. I would appreciate written responses at your earliest convenience.

    Governance & By-Laws Compliance 

    1. The 2024 By-Laws explicitly required officer elections to be decided by “a majority vote of participating parents (1 per household)” present at the election meeting. The 2025 By-Laws (Section 2.10) silently changed this to a majority vote of participating board members only, completely eliminating the one-vote-per-family parental election that had been in place for years. 

      • When exactly did the required parental household vote (one per household) take place that originally seated the current board members who later approved of the 2025 by-law change? Please provide the date, location, attendance records, voting tallies, and any minutes or announcements from that election. 

        1. If no such parental household vote ever occurred to seat the current board members, how were those individuals legitimately elected or appointed to their positions (outside the explicit requirements of the by-laws that were in effect at the time)? 

      • If the current board members were never elected by a vote of participating parents (one per household) as explicitly required by the by-laws in effect when they took their seats, do they have any legal authority under Georgia nonprofit law or CYFA’s own governing documents to amend the by-laws at all? Specifically, if the board was not validly elected, doesn’t that make the 2025 by-law change (switching elections from parents to board-only), and every other change they made, automatically invalid and void? 

      • What was the formal amendment process (including exact date of the vote, board members present, vote tally, and any written or emailed notification to the full membership) used to strip every CYFA parent/household of their longstanding right to elect officers? 

      • Why was no advance notice or vote of the general membership (i.e., the participating parents representing ~1,500–1,600 households) ever solicited or required before removing their sole direct voice in leadership selection? 

    Financial Transparency & Controls 

    1. CYFA's Form 990 filings (2015–2024 Schedule O) state that financial statements and conflict-of-interest policies are “available upon request,” yet multiple written requests in late 2024, early 2025 were partially or fully denied (e.g., capital expense invoices, prior-year P&L, conflict statements). What is the current written policy for fulfilling document requests from members or the public, and why has CYFA not proactively posted these documents on its own website despite repeated promises on tax filings? 

    2. A current CYFA voting board member who is also simultaneously a paid staff person/contractor of CYFA, has a spouse (a former CYFA Board Member himself) who admitted to stealing approximately $50,000 from the Cherokee High School Jr. Warriors football/cheer program and entered into a formal repayment agreement with Cherokee High to return the misappropriated funds. The CYFA Board has been aware of this situation since it occurred.

      • Why was she not immediately removed from the CYFA board (and her paid position terminated) after her spouse’s admission of theft and repayment agreement?

      • What specific provisions in the CYFA by-laws or conflict-of-interest policy allow a paid board member to remain in a fiduciary role with access to CYFA funds and decision-making authority when their immediate family member has admitted to stealing substantial funds from a closely affiliated youth sports program?

    Registration & Revenue Integrity 

    1. CYFA has refused to provide registration breakdowns by high school feeder (River Ridge, Woodstock, Etowah, Sequoyah, Creekview, Cherokee) citing “administrative burden,” despite the data existing in the registration software. Why is this breakdown considered sensitive, and what prevents exporting and sharing a simple anonymized table showing player/cheer counts and revenue per feeder program for 2021–2024? 

    2. CYFA collects registration fees from families explicitly tied to each of the six Cherokee County high school feeder areas. Of the total registration revenue collected each year (approximately $600,000–$800,000), what exact dollar amount and percentage is paid back annually to each of the corresponding high school football and/or cheer booster clubs (River Ridge, Woodstock, Etowah, Sequoyah, Creekview, Cherokee), and how is that amount calculated? 

    Risk Management & Compliance 

    1. The YAA Policy and Procedures Manual (referenced on the Cherokee Recreation & Parks Authority site) recommends bonding for youth sports organizations and annual audits. Is every CYFA board member or officer who handles funds bonded, and if not, what alternative fiduciary insurance or controls are in place? 

    2. Internal GroupMe messages (redacted and published) from an outgoing director raised concerns about leadership professionalism and financial practices. What process exists for handling internal whistleblower complaints, and were the issues in those messages formally investigated by the board? 

    3. Describe in detail the annual budgeting process at CYFA: who is responsible for drafting the budget, what input (if any) is solicited from coaches, parents, or committee members, when it is presented to the full board, and how and when it is voted on and approved. Additionally, for how many of the past ten years (2015–2024) has CYFA actually prepared and approved a formal written budget prior to the start of the fiscal/seasonal year, and will you provide copies of all existing approved budgets from that period? 

    League Expansion & New Program Integration (North Cobb) 

    1. Prior to the 2025 season, CYFA leadership made the decision to allow North Cobb Youth Football to participate as an “independent” team playing a full CYFA schedule while operating under different practice rules, age/grade standards (e.g., no kindergartners, different practice hour limits), and without being subject to the same CYFA by-laws and governance as existing member programs. Why were none of the thousands of CYFA-registered parents informed — via email, website announcement, registration disclosure, or any other communication — that their children would be competing against a non-member program that was explicitly exempted from following the same safety, practice, and competitive standards that all Cherokee County families were required to follow? 

    2. Multiple CYFA volunteer coaches have reported that they were threatened by league leadership during the 2025 season with immediate revocation of their coaching badges if they refused to play their scheduled K-2 games against North Cobb, despite North Cobb operating under different age, practice, and safety rules than required of all CYFA member programs. What specific by-law, rule, or policy gives the CYFA board or its officers the authority to threaten volunteer coaches with badge removal for raising legitimate competitive-equity and child-safety concerns about playing a non-compliant opponent? 

    Partnership with Cherokee County School District (CCSD) 

    1. In 2024–2025, the Cherokee County School District offered CYFA a formal partnership agreement that would have granted CYFA official school-district recognition, use of CCSD logos and branding, and promotional support inside district schools and facilities. In exchange, CCSD required only standard oversight in the form of full, unrestricted audit rights over CYFA’s finances. CYFA rejected those audit terms and the negotiations collapsed with no agreement ever signed. Why did the CYFA board refuse to allow the Cherokee County School District, the very school system that all CYFA participants attend, to perform a basic financial audit, and what specific concerns or risks did the board believe outweighed the substantial benefits of becoming an officially recognized partner of CCSD? 

    Operational Efficiency & Sustainability 

    1. CYFA has repeatedly described itself as an “all-volunteer” organization and cited volunteer time constraints as the reason detailed financial reporting is too burdensome. 

      • Please name every individual (first and last name) who currently receives any form of payment, salary, stipend, independent-contractor fees, honorarium, or reimbursement beyond basic out-of-pocket expenses, from CYFA, along with the exact role/title they perform and the total amount paid to each person from January 1, 2024 through November 18, 2025. 

      • Confirm that Melissa has been paid for many years and she mentioned during our previous in person meeting. 

      • Confirm whether Robin (marketing/communications coordinator) is now receiving any form of compensation or contractor payment from CYFA for her work, and if so, how much she has been paid in 2024 and 2025 YTD. 

      • Of all paid individuals, name those who are also current voting members of the CYFA board, and cite the specific by-law or policy that permits board members to be simultaneously paid by the organization they govern. 

    2. Given the ongoing public controversy and persistent concerns from parents and coaches, what performance indicators (KPIs) does the board formally track and review annually (e.g., participant retention rate, parent satisfaction survey scores, cost per player, reserve fund ratio, number of complaints, etc.), and what were the actual results for 2023, 2024, and 2025 YTD?

    I've added Jay Worley and Commissioner Richard Weatherby to this email.

    My original reasons for concern were centered primarily around financial management and secondarily, leadership professionalism. After comparing your email response to our phone conversation from earlier today, my concerns now include financial transparency.

    According to Schedule O of Form 990 from TY 2015 - 2022, the CYFA Organization promotes that conflict of interest and financial statements are available upon request. Whether they are published online in the case of Form 990, CYFA has elected to make conflict of interest and financial statements... available upon request. If CYFA, out of liability concerns or otherwise, decides to consult an attorney to review docs prior to their release, that decision along with the funding mechanisms to cover those costs resides solely within CYFA leadership. 

    That being said, here are 2 possible solutions to prevent money being spent on this request by CYFA:

    1. What documents would CYFA be able to provide from the list below without incurring any fees from your attorney? 

    2. If CYFA leadership wants to ask your attorney to send me a detailed scope of work and cost estimate, I’m sure the community would find a way to cover what should be minimal costs.

    I updated the doc list from my original and struck through the By-Laws since you directed me to those on the CYFA website during our call.

    1. Organizational Documents including the Articles of Incorporation, By Laws, and Operating Procedures to include how individuals, agents, etc. spend money on behalf of CYFA.

    2. Any Conflict-of-Interest Statements

    3. Form 990 for Tax Year 2023

    4. Minutes from Board Meetings Year to Date

    5. Year to Date Financials for 2024 to include Balance Sheet and Profit & Loss Statement

    6. Invoices related to any Capital Expenses Year to Date and from TY 2023 and 2022

    7. Total number of players, cheerleaders, and the associated fees charged for each for 2021 – 2024.

    8. Documents related to any Independent Financial or other Audits that have been previously performed. 

      1. According to the YAA Policy and Procedures Manual located on the Cherokee Parks and Rec website (Link to Play Cherokee), Cherokee Recreation & Parks recommends that each YAA be bonded and that annual internal audits are performed on all accounts.

    From my perspective, instances where legal teams are requested to intermediate or when documentation that should be readily available takes an unusual amount of time to prepare raises a big red flag and I think the public would feel the same way.

    I wanted to clarify that CYFA believes it is important to respect the residents of Cherokee County and our shareholders by not asking them to spend their hard-earned money on these expenses for any attorney fees or accountant fees. 

    We are committed to transparency and will provide the agreed-upon documents.

    If we can agree on this information, I will be glad to share it as soon as it’s available. If not, I will assume I will hear from your attorney regarding the request for these documents.

    "The residents of Cherokee County" will not be spending their hard earned money on any expenses associated with attorneys or accounting fees.

    While I mentioned this in my previous email, we are formally offering to pay for the reasonable attorney and the reasonable CPA fees associated with the preparation and submission for all the documents previously listed in my original email request. Prior to approving the payment to CYFA or directly to your attorney/CPA, we would need to review a detailed scope of work from your attorney and your CPA to ensure understanding the scope and the associated costs. If CYFA elects to decline our offer directly or is nonresponsive to it, you are shouldering the burden of those expenses.

    If CYFA is unwilling to produce the documents from our list which include financial statements that are compliant with GAAP accounting principles and have been publicly promoted by CYFA as being available upon request, we will be in touch.

    I would like to provide some context regarding our decision not to share certain information. From my professional experience in finance with a billion-dollar company, I’ve observed that not everyone can accurately interpret Profit and Loss statements, which can lead to confusion. While I trust your understanding, I am concerned about the potential for misinterpretation by others who may not grasp the nuances of these documents. This could result in unnecessary inquiries and an overwhelming amount of communication from parents directed at our volunteer board members.

    It has come to the attention of the executive board that this request stems not just from a “wandering mind,” but from parents (as you mentioned, it isn't just you) who feel that CYFA has made choices due to a lack of funds or due to emails that did not seem professional. I believe this situation has caused our unpaid board members to put in more work for something that could likely be addressed through clearer communication, especially since CYFA has not "run out of funds" in any way.

    If you would like, I can suggest a meeting with our executive board to review the P&L statements in person, with you in attendance. We would be open to this after the holiday season, ensuring that no copies or photos are made during the meeting.

    Jay is out of town until 12/2, so removing him makes sense. I am also removing Richard as he and I chat regularly about the goings on in Cherokee County.

    Thank you for sending the totals from 2023 and 2024, are you able to break those down by High School, and are you willing to send the data? Assume that your registration software breaks this out in some form of preformatted and exportable report that's likely easier to share than entering data into an excel sheet. I am also willing to send an already created excel sheet broken down by high school for you to fill in the data if that makes it easier for you.


    Also, thank you for providing some context about your background and experience, I would expect CYFA to have folks in leadership that have strong professional backgrounds. So that you have context my professional abilities and how they relate to others on our team, I was in business/commercial banking for several years, have reviewed 100s if not 1000s of financial statements in my lifetime, and am likely the least experienced person from our group when it comes to reviewing/auditing financials. While a financial statement does indeed tell a story, the story is never a complete one, which generates additional questions, and data to craft the correct financial status. I am empathetic to CYFAs concerns about sharing financial data without having the story.

    While I am more than willing to meet with anyone in person or via Zoom, I do not believe the meeting is necessary since any in-person meeting will not subordinate my request for copies of the requested documents. A more productive meeting would occur after we received and had time to review the financial statements. Alternatively, if you and I want to meet more casually for coffee, I am more than willing to verbally communicate what I have learned and provide recommendations for steps CYFA could take to repair some of the public's distrust.

    As a current volunteer board member on multiple nonprofits, I fully understand the time, effort, energy, and stress that this conversation has potentially generated which is why I am confused as to why CYFA is unwilling to just send the docs that it publicly promotes as being available upon request? To me, sending the docs would be less time consuming than going round and round on the why...

    Thank you for your message. I understand your interest in breaking down the enrollment data by district. While our system does have the capability to do this, it is a complex process that requires significant administrative time. Given that the overall enrollment numbers should suffice for gauging participation, I believe our time as volunteers could be better spent focusing on planning for the upcoming season rather than gathering specific documents.

    I want to clarify that my involvement on the board is driven by my passion for the positive impact this program has on the youth in our county.  The requirement for executive board members to have served at least two years on the regular board is in place to ensure continuity and a strong understanding of our organization. However, since CYFA operates independently, we do not require extensive professional backgrounds—many of our most effective board members are stay-at-home parents who bring valuable insights.

    Regarding meeting in person to review specific documents, I appreciate your willingness to discuss this further. However, we will not be providing hard copies of those documents. I am more than happy to answer any financial questions you or other parents may have via email or phone. Our goal is to maintain clear communication, especially as some documents can be misinterpreted. We feel it's more efficient to address concerns directly from the small group currently engaged rather than potentially overwhelming our resources with inquiries from a larger audience.

    Lastly, I encourage you and your team, including PARENT NAME REMOVED, to complete the end-of-year surveys sent by our Director. This feedback is crucial for our discussions moving forward, and I welcome any concerns you may have.
